Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Techversed ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Techversed provides custom software development, web and mobile application development, cloud infrastructure, AI/ML solutions, UI/UX design, and related consulting services. The specific scope, deliverables, timeline, and fees for each engagement will be defined in a separate Statement of Work (SOW) or service agreement.

3. Client Obligations

• Provide timely and accurate information, feedback, and approvals necessary for the project.
• Designate a primary point of contact for communication regarding the project.
• Ensure that all materials, content, and data provided to us do not infringe on any third-party rights.
• Make payments in accordance with the agreed-upon schedule and terms.

4. Intellectual Property

Upon full payment for the services, the client will own all intellectual property rights to the custom deliverables created specifically for them, unless otherwise agreed in writing.

Techversed retains ownership of all pre-existing tools, frameworks, libraries, and methodologies used in the development process. We may use general knowledge, techniques, and experience gained during the engagement for future projects.

5. Payment Terms

• Payment terms, including rates, milestones, and schedules, will be specified in the applicable SOW or service agreement.
• Invoices are due within 30 days of issuance unless otherwise specified.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.
• We reserve the right to pause work on a project if payments are significantly overdue.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business plans, technical specifications, source code, trade secrets, and client data. Confidentiality obligations survive the termination of any agreement for a period of two (2) years.

7. Warranties & Disclaimers

We strive to deliver high-quality software that meets the agreed specifications. We provide a warranty period of thirty (30) days after delivery during which we will fix bugs and defects at no additional cost, provided they fall within the original scope.

Beyond this warranty, services are provided "as is." We do not guarantee that software will be error-free, uninterrupted, or meet all future requirements not specified in the original scope.

8. Limitation of Liability

To the maximum extent permitted by law, Techversed's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific project in question. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Termination

Either party may terminate an engagement with thirty (30) days written notice. Upon termination:

• The client shall pay for all work completed up to the termination date.
• We will deliver all completed work and materials to the client.
• Both parties will return or destroy any confidential information belonging to the other party.

10. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, war, government actions, or infrastructure failures.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any disputes shall be resolved through good-faith negotiation first, and if necessary, through arbitration in Phnom Penh, Cambodia.

12. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after any modifications constitutes acceptance of the revised terms.
